Welcome to the Industry Membership Area of Chrysalis Music's Song Search website. Chrysalis Music Limited and its parent, subsidiary and affiliated companies ("Chrysalis") maintain this site (the "Site") for research and review purposes with regard to the use of musical and literary works and sound recordings for members of the music industry (the "Service").

You may download material displayed on the Site for non-commercial personal review purposes only provided you also retain all copyright and other proprietary notices contained on the materials. You may not, however, distribute, modify, transmit, reuse, re-post, or use the content of the Site for public or commercial purposes, including the text, images, audio, and video without Chrysalis's written permission.

You agree to provide accurate, current, and complete information required to register with the Service and at other points as may be required in the course of using the Service ("Registration Data"). You further agree to maintain and update your Registration Data as required to keep it accurate, current, and complete. Chrysalis may terminate your rights to any or all of the Service if any information you provide is false, inaccurate or incomplete. You agree that Chrysalis may store and use the Registration Data you provide.

As a registered user of the Industry Membership Area of the Site you may receive or establish an account ("Account"). You are solely responsible for maintaining the confidentiality and security of your Account. You should not reveal your Account information to anyone else or use anyone else's Account. You are entirely responsible for all activities that occur on or through your Account, and you agree to immediately notify Chrysalis of any unauthorised use of your Account or any other breach of security. Chrysalis shall not be responsible for any losses arising out of the unauthorized use of your Account which is not due to the negligence of Chrysalis. Your access to and use of the Site is also subject to the following terms and conditions ("Terms and Conditions") and all applicable laws.

By ticking the box below you accept the following Terms and Conditions. By using the Site following any modifications to the Terms and Conditions, you agree to be bound by any such modifications to the Terms and Conditions.

Terms and Conditions

You should assume that everything you see or read on the Site is subject to copyright unless otherwise noted, and may not be used except as provided in these Terms and Conditions without the written permission of Chrysalis or the applicable copyright owner. Chrysalis neither warrants nor represents that your use of materials displayed on the Site will not infringe rights of third parties not owned by or affiliated with Chrysalis.

This Site is available for persons aged 18 or over. You must be 18 years or older to access or otherwise use the Site and the Service.

Your use of and browsing in the Site are at your risk. The Site including without limitation all content, functions and materials is provided "AS IS" WITHOUT WARRANTY OF ANY KIND EITHER EXPRESS OR IMPLIED INCLUDING ANY WARRANTIES OR TITLE, MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. No advice, results or information whether oral or written obtained by you from us or through the Site shall create any warranty not expressly made herein. If dissatisfied with the site, your sole remedy is to discontinue using the Site. Chrysalis also assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect, your computer equipment or other property on account of your access to, use of, or browsing in the Site or your downloading of any materials, data, text, images, video, or audio from the Site.

In no event shall Chrysalis Music Limited or any of their directors, officers, employees, agents, or affiliates or content or service providers be liable for any damages or loss arising from or directly or indirectly related to the use of or the inability to use the Site or the content, materials and functions related thereto. In no event shall the total liability of Chrysalis to you for all damages, losses and causes of action (whether in contract or tort or otherwise including but not limited to negligence or otherwise) arising from the terms and conditions or your use of the site exceed in the aggregate £1.00

You warrant and agree that you shall not: (a) impersonate or misrepresent your affiliation with any other person or entity; (b) upload, post, publish, transmit, reproduce, distribute or in any way exploit any information or other material obtained through the Site for commercial purposes (other than as expressly permitted by the provider of such information or other material); (c) engage in spamming or flooding; (d) retain or attempt to retain copies of audio files that are "streamed" from the Site (sometimes referred to as "stream-catching") or (e) attempt to gain unauthorized access to other computer systems through the Site. Except as otherwise expressly permitted herein, you may not upload, post, publish, reproduce, transmit or distribute in any way any component of the Site itself or derivative works with respect thereto, as the Site is subject to copyright as a compilation work pursuant to the Copyright, Designs and Patents Act 1998 as amended.

While we are always happy to hear from you, it is Chrysalis's policy not to accept or consider creative materials, ideas, or suggestions other than those we specifically request. This is to avoid any misunderstandings if your ideas are similar to those we have developed independently. Therefore we must request that you do not send to us any original creative materials such as screenplays, stories, original artwork, etc. Any communication or material you do transmit to the Site by electronic mail or otherwise will be treated as non-confidential and non-proprietary. Anything you transmit or post may be used by Chrysalis or its affiliates for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast and posting. Furthermore, Chrysalis is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to the Site for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products using such information.

Images of people or places displayed on the Site are either the property of, or used with permission by, Chrysalis. The use of these images by you, or anyone else authorized by you, is prohibited unless specifically permitted by these Terms and Conditions or specific permission provided elsewhere on the Site.

The trademarks, logos, and service marks (collectively the "Trademarks") displayed on the Site are registered and unregistered Trademarks of Chrysalis and others. Nothing contained on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Site without the written permission of Chrysalis or such third party that may own the Trademarks displayed on the Site. Your misuse of the Trademarks displayed on the Site, or any other content on the Site, except as provided in these Terms and Conditions, is strictly prohibited.

You agree that you will not attempt to, or encourage or assist any other person to, circumvent or modify any security technology or software that is part of the Service or interfere with, remove or alter any rights management information on any musical or literary work or sound recording made available through the Site.

While Chrysalis uses reasonable efforts to include accurate and up to date information in the Site, Chrysalis makes no warranties or representations as to its accuracy. Chrysalis assumes no liability or responsibility for any errors or omissions in the content of the Site.

Chrysalis has not reviewed all of the sites linked to the Site and is not responsible for the content of any off-site pages or any other sites linked to the Site. Your linking to any other off-site pages or other sites is at your own risk.

You agree to indemnify, defend and hold Chrysalis and its affiliates, and their respective officers, directors, owners, agents, information providers and licensors (collectively, the "Indemnified Parties") harmless from and against any and all claims, liability, losses, costs and expenses (including attorneys fees) incurred by any Indemnified Party in connection with any breach by you of these Terms and Conditions. Chrysalis reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Chrysalis' defence of such claim.

We control and operate this Site from our offices in London, England. We do not represent that materials on the Site are appropriate or available for use in other locations. Persons who choose to access this Site from other locations do so on their own initiative, and are responsible for compliance with local laws, if and to the extent local laws are applicable.

The Terms and Conditions and the relationship between you and us shall be governed by and construed in accordance with the laws of England and Wales and you and we both submit to the exclusive jurisdiction of the English courts. Our failure to exercise or enforce any right or provision of the Terms and Conditions shall not constitute a waiver of such right or provision.

If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between the parties relating to the matters contained herein and shall not be modified except in writing, signed by Chrysalis Music.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or the Terms and Conditions must be filed within one (1) year after such claim or cause of action arose or be forever barred.
